Terms of Service for Ergocyber.com

 

1. Introduction and Acceptance

By accessing and using the Ergocyber.com website (the "Website"), you agree to be bound by these Terms of Service (the "Agreement"). This Agreement constitutes a legally binding agreement between you ("User" or "you") and Ergocyber.com ("Ergocyber," "we," or "us"). If you do not agree to these terms, please do not use the Website.

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. Any such changes will become effective upon posting on the Website. 3.1. Eligibility and Registration

You represent and warrant that the information you provide during the registration process is accurate and complete. 4.1. User-Generated Content

You are solely responsible for any content you submit, post, or transmit through the Website ("User Content"). By submitting, posting, or transmitting User Content, you represent and warrant that: (a) you own or have the necessary rights, licenses, permissions, and consents to use, and authorize Ergocyber to use, such User Content in the manner contemplated by this Agreement and the Website; (b) the User Content does not contain any material that is defamatory, obscene, pornographic, harassing, threatening, abusive, hateful, or otherwise unlawful or objectionable; and (c) the User Content does not violate any applicable laws or infringe upon any intellectual property rights, privacy rights, or publicity rights of any third party.

4.2. Content Review and Removal

We reserve the right, but have no obligation, to review, monitor, edit, or remove any User Content at our sole discretion. We may also disclose any User Content or any information related to your use of the Website, as required to do so by law or pursuant to a request from a governmental or regulatory authority.

5. Dispute Resolution

5.1. Informal Resolution

In the event of any dispute or claim arising from or relating to this Agreement, the Website, or your use thereof, you and Ergocyber agree to promptly notify the other party and attempt to resolve the dispute or claim in good faith through informal negotiations.

5.2. Binding Arbitration

If the parties are unable to resolve a dispute or claim through informal negotiations within thirty (30) days, the dispute or claim shall be resolved through binding arbitration in accordance with the rules and procedures of the American Arbitration Association ("AAA"). The arbitration will take place in a location agreed upon by both parties or determined by the AAA. The decision of the arbitrator will be final and binding on both parties, and any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

5.3. Applicable Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the United States, without giving effect to its conflict of laws principles. In the event that a dispute or claim cannot be resolved through arbitration, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in the United States.

6. General Provisions

6.1. Severability

If any provision of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, unenforceable, or otherwise contrary to law, the parties agree that the remaining provisions of this Agreement will remain in full force and effect.

6.2. Waiver

Any waiver by either party of any breach or default hereunder will not be deemed a waiver of any subsequent breach or default of the same or similar nature.

6.3. Assignment

You may not assign your rights or obligations under this Agreement without the prior written consent of Ergocyber. Ergocyber may assign its rights or obligations under this Agreement at any time without notice to you.

7. Execution Clause

By accessing and using the Website, you acknowledge that you have read and understand these Terms of Service, and you agree to be bound by the terms and conditions herein. Your use of the Website constitutes your electronic signature in acceptance of these Terms of Service.
